Membership Agreement Terms

1. General Rules

  • These Terms stipulate conditions regarding the activities of the International HR Institute (IHRI) between IHRI and its Members. IHRI reserves the right to amend these Terms from time to time, in part or in full, without prior notice to the Member.
  • By becoming an IHRI member, the Member agrees to be bound by these Membership Terms which form a legally enforceable contract between IHRI and the Member.

2. Member Benefits

  • As part of the membership with IHRI, the Member will receive and enjoy the rights, privileges, and benefits as outlined for respective Membership Types.

3. Membership Dues

  • Annual membership dues are maintained for continual membership. The membership dues are indicated on the respective links above-provided and are renewable on the Member’s anniversary. Advance notices will be provided through email for reminders. Failure to successfully fulfill the membership dues within fifteen (15) days from the anniversary date will mean forfeiture of benefits.
  • Membership cancellations received within seven (7) days of joining/renewing may be eligible to receive a full refund less P500 service fee. Cancellations received after the stated deadline will not be eligible for a refund and will take effect until the end of the membership period.

4. Member Contact

  • The Member shall keep contact information up-to-date.
  • The Member acknowledges that in case any communication from IHRI is undelivered due to the Member’s failure of contact details updating, such communication is deemed to be delivered by the time it should have been reached.

5. Handling of Member Information

  • The information provided for membership registration shall be the property of IHRI. The Member agrees that IHRI may use the information obtained thereby for the latter’s activities and provision of benefits. IHRI may use your personal information to provide you with support, services, or information you request. You may also receive communications from IHRI related to your membership as described in the IHRI Privacy Policy. IHRI shall not disclose any information that would identify an individual, such as name, e-mail address, telephone number, etc., to any third party except if the Member agrees to such disclosure, if such disclosure is required by law, or if such disclosure is required to protect an individual’s life, well-being or property
  • Regarding any registered information of a Member, IHRI may amend or delete Member’s data without notice, in cases when the registered information is determined to be obviously false or in any other situations that are determined inappropriate by IHRI

6. Restrictions

  • The Member agrees that they will not:
    • Share their login information
    • Reproduce any of the information received as part of their membership without prior written approval from IHRI
    • Post inappropriate, inaccurate, or offensive content to membership forums and discussions

7. Governing Documents Adherence

  • The Member agrees to abide by IHRI’s Articles of Incorporation, Bylaws, Code of Conduct, and other policies, procedures, and rules. Without limiting the foregoing, you agree that IHRI may discipline you as provided in the Governing Documents. The current Governing Documents may be obtained from IHRI Secretariat.

8. Disclaimer

  • The Member agrees that their IHRI membership and any goods and services provided by IHRI in connection therewith are provided AS-IS without any representations or warranties of any kind or nature express, implied, or statutory. IHRI disclaims all representations and warranties, express, implied, and statutory, including, but not limited to, any implied warranties of merchantability, fitness for a particular purpose, workmanship, and non-infringement to the fullest extent permitted by applicable law.

9. Defense, Indemnification, and Hold Harmless

  • The Member shall defend, indemnify, and hold harmless IHRI and its directors, officers, employees, volunteers, agents, and other representatives and contractors against all claims, demands, actions, causes of action, losses, damages, costs, and expenses of any kind (including, without limitation, legal fees and costs), directly or indirectly resulting from, arising out of, or in any way related to your IHRI membership.

10. Waiver of Liability

  • YOU HEREBY WAIVE ANY AND ALL CLAIMS, ACTIONS, CAUSES OF ACTION, LOSSES, AND DAMAGES OF ANY KIND OR NATURE, YOU MAY HAVE AGAINST IHRI AND/OR THE INDEMNIFIED PARTIES DIRECTLY OR INDIRECTLY RESULTING FROM, ARISING OUT OF, OR IN ANY WAY RELATED TO YOUR MEMBERSHIP IN IHRI INCLUDING, BUT NOT LIMITED TO, ANY DISCIPLINE IMPOSED ON YOU BY IHRI. THIS WAIVER OF LIABILITY APPLIES TO ALL CLAIMS, ACTIONS, CAUSES OF ACTION, LOSSES, AND DAMAGES OF ANY KIND OR NATURE WHATSOEVER, INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, GENERAL, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, STATUTORY, CONTRACTUAL, OR DAMAGES OR LOSSES OF ANY OTHER KIND OR TYPE. THIS WAIVER OF LIABILITY APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, NEGLIGENCE, TORT, STRICT LIABILITY, OR ANY OTHER BASIS AND EVEN IF THE INDEMNIFIED PARTIES KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES.  THIS WAIVER OF LIABILITY SHALL BE ENFORCEABLE TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. 

11. Attorney’s Fees and Costs

  • Should IHRI require an attorney to (i) defend any claim, action, or cause of action brought by you or by a third party regarding your IHRI membership or conduct; and/or (ii) enforce IHRI’s rights under this Agreement, IHRI shall be entitled to recover reasonable attorney’s fees and any related fees and costs incurred by IHRI in connection therewith.

12. Miscellaneous

  • If any provision of these Terms is unenforceable, the unenforceability of that provision shall not affect the enforceability of any other provision. If IHRI agrees to waive its right in a particular instance to enforce any term of these Terms, it does not waive its right to enforce such term at any other time.
